Terms of Service - Savvy Stock

This is a legally binding agreement. Please read it carefully.

1. Introduction

By using Savvy Stock, you agree to these Terms on behalf of the business you represent. If you do not agree or lack authority, do not use the Service.

2. Definitions

Service: The Savvy Stock platform and APIs.
Client Data: Data submitted by you or your users.
Authorized User: Individuals using the Service under your account.
Confidential Information: Non-public, sensitive data disclosed between parties.
Subscription Term: Duration of your active subscription.

3. User Accounts

Provide accurate registration info and maintain security of credentials.
You are liable for actions of all Authorized Users.

4. License and Acceptable Use

You are granted a limited license for internal business use. You must not:

Use the Service unlawfully or maliciously.
Reverse-engineer, resell, or probe the system without consent.

The Service may be updated but its core features will not be removed during your subscription.

5. Payment and Billing

Fees are billed in advance, in ETB, excluding taxes.
Subscriptions renew automatically unless canceled before term ends.
Non-payment may result in service suspension.
Fees are non-refundable unless required by law.

6. Intellectual Property & Data

We retain rights to the platform and trademarks.
You retain ownership of your data; we may process it to provide the Service.
Data is protected per our Privacy Policy.
We may use your feedback without obligation.

7. Confidentiality

Both parties agree to protect each other’s confidential data with reasonable care, unless it becomes public, was previously known, or legally disclosed.

8. Indemnification

You agree to hold us harmless against claims or damages resulting from your use of the Service or violation of these Terms.

9. Term & Termination

Terms are active while your subscription is active.
Either party may terminate for material breach.
After termination, your data is retained for 30 days for export before deletion.

10. Changes to Terms

We may update these Terms with a 30-day notice via email or in-app notification. Continued use signifies acceptance.

11. General Provisions

Governing Law: Ethiopia
Disputes: Resolved via arbitration in Addis Ababa
Force Majeure: Not liable for events beyond control
Entire Agreement: Includes Terms and Privacy Policy
Severability: Invalid parts do not affect the rest
Assignment: You cannot assign without our consent; we may assign during M&A

Client Data: Information uploaded by you (inventory, transactions, etc.). For this, you are the Data Controller, and we act as a Data Processor.

Payment: Billing/payment details via secure processor.
Client Data: Business-specific data you input.
Communications: Info you send during support or feedback.

Log Data: IP address, browser, OS, timestamps.
Cookies: We use cookies to improve experience and analytics.

We retain your data while your account is active and as legally required. Client Data is available for export for 30 days post-termination before deletion.
